Does a company’s 401k contribution match count as part of the $15500 limit?

For example, my company’s 401k matching program matches $0.25 for ever $1 I put in. If I want to max it out, do I personally contribute $15500 and the company adds another $3875 ($15500 * .25 = $3875), or do I put in $12400 and the company adds $3100 ($12400 * .25 = $3100)?

Could “severance pay” or part of it be contributed to 401K?

At the end of the year I will be laid off and I know amount of expected severance pay. Can I ask employer to contribute some amount of this payment to 401K – up to allowed year limit?

Should i use my 401k for part of a downpaymnt if I will get the tax i pay on it back from the 2009 tax credit?

I have the money for the downpayment but this is the only time I will ever be able to take that money out of my 401k and not pay tax on it essentially. Otherwise I wont get to take advantage of the full $8000 tax credit. I like the idea of having cash on hand in this economic environment rather than tied up in a 401k or a house.

Can a 401(k) be rolled over into a Roth IRA? If so, how to distinguish which part is taxable at retirement?

The 401(k) part would be taxable at retirement (pre-tax money), and the Roth IRA non taxable (because it was post-tax money)
